These Terms of Service ("Terms") govern your access to and use of the No-Q platform, including our website at no-q.ca, the vendor application, the customer ordering interface, and the event organizer dashboard (collectively, "No-Q," "the Platform," "we," "us," or "our"). No-Q is operated by Axer Technology INC.
By creating an account, accessing, or using the Platform, you ("you" or "User") agree to be bound by these Terms. If you do not agree, you must not use the Platform.
No-Q is a technology platform that facilitates ordering, payments, and analytics between event vendors, customers, and event organizers. We do not own, prepare, sell, deliver, or guarantee any products or services offered by vendors. We are not a party to any transaction between a vendor and a customer; we provide the tools that enable that transaction.
To use No-Q you must be at least the age of majority in your jurisdiction (18 in Alberta) or be a minor with verifiable consent from a parent or legal guardian. Vendors and event organizers must be at least 18 years of age and legally capable of entering binding contracts.
You represent and warrant that all registration information you provide is accurate, current, and complete, and that you will maintain it as such.
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. Notify us immediately at contact@no-q.ca if you suspect unauthorized access.
You may close your account at any time by contacting contact@no-q.ca or using the in-app account deletion tool, subject to our retention of records required for legal, tax, fraud-prevention, or dispute-resolution purposes.
You may not:
Vendors are solely responsible for obtaining and maintaining all licenses, permits, certifications, registrations, insurance, and regulatory approvals required to operate their business and offer their products or services. This includes, without limitation, business licenses, food handling certifications, alcohol service permits, health inspections, tax registrations, and any event-specific accreditation.
No-Q assumes no responsibility or liability for any vendor's failure to obtain, maintain, or comply with such licenses, permits, certifications, or regulations. No-Q does not verify, validate, audit, or guarantee any vendor's regulatory status, and the appearance of a vendor on the Platform does not constitute any representation by No-Q regarding that vendor's compliance.
Vendors are solely responsible for confirming that they are authorized to operate at any event or venue where they use the Platform, and that the event organizer and venue permit the use of third-party mobile ordering platforms such as No-Q.
No-Q is not responsible or liable for any consequences arising from a vendor's use of the Platform at an event or venue that prohibits, restricts, or has not authorized such use. This includes, without limitation, ejection from the event, fines, contract termination by the organizer or venue, reputational harm, or loss of sales. The vendor bears sole responsibility for verifying authorization with both the organizer and the venue before using the Platform.
Vendors bear sole responsibility for the safety, legality, quality, accuracy of description, fitness for purpose, and lawful sale of their products and services. No-Q makes no representations and gives no warranties regarding any vendor's offerings.
Vendors are responsible for setting accurate prices, maintaining current inventory information, honoring orders placed through the Platform, and fulfilling orders in a timely manner consistent with what was advertised.
Vendors are responsible for determining, collecting, reporting, and remitting all applicable taxes (including GST/HST/PST and sales taxes) on their sales unless expressly agreed otherwise in writing with No-Q.
Vendors are responsible for honoring their published refund and cancellation policies. Vendors bear the financial risk of payment reversals, chargebacks, and disputes initiated by customers, including any associated fees charged by the payment processor or No-Q, and authorize No-Q to deduct such amounts from amounts otherwise owing to the vendor.
By uploading or providing any content to the Platform — including logos, menus, product names, photographs, descriptions, and business information ("Vendor Content") — the vendor grants No-Q a worldwide, non-exclusive, royalty-free, sub-licensable license to host, store, reproduce, display, distribute, and use such Vendor Content for the purposes of operating, promoting, and improving the Platform, including in event marketing materials (e.g., "powered by No-Q" branding, vendor showcase posters, and event marketing communications).
The vendor represents and warrants that it owns or has all necessary rights to the Vendor Content and that No-Q's use will not infringe any third-party rights.
Customers are responsible for reviewing all order details — including items, quantities, modifications, prices, fees, and pickup location — before submitting payment.
Customers must comply with all applicable age restrictions, including those for alcohol and age-restricted events. Vendors and event staff may require government-issued identification before fulfilling an order, and may refuse fulfillment if such ID cannot be produced or is not satisfactory. No refunds are owed for orders refused on this basis.
Refund and cancellation terms are set by each vendor. No-Q is not a party to the sale and is not liable for product quality, fulfillment, or refund disputes. We may, at our sole discretion and as a courtesy, facilitate communication between customers and vendors to help resolve disputes, but this does not create any obligation on our part.
Customers may not resell, redistribute, or commercially exploit products obtained through No-Q without the vendor's written consent.
Event organizers represent and warrant that they have all necessary rights, permits, and authorizations to operate the relevant event, including any required venue agreements, municipal permits, insurance, and approvals to use third-party platforms such as No-Q for vendor mobile ordering.
Event organizers are responsible for confirming with the venue (and any rights-holders) that mobile ordering platforms such as No-Q are permitted at the event. No-Q is not responsible or liable for any consequences arising from the use of the Platform at an event where such use is not authorized by the venue or by event rights-holders.
Event organizers are responsible for the accuracy of any vendor information they provide to No-Q and for the legitimacy of the vendors they introduce to the Platform.
Event organizers are responsible for the accuracy of event dates, locations, hours, and any other event information provided to or via No-Q.
Analytics and reports provided by No-Q are for the organizer's internal use in connection with the relevant event. Organizers may not redistribute, resell, or publish such data without No-Q's prior written consent, except in summary form for legitimate event reporting purposes.
By creating an account on No-Q, you consent to receive the following electronic communications from us at the email address, phone number, or in-app channels associated with your account:
This consent extends to communications sent by No-Q to customers, vendors, and event organizers in all the categories listed above. We comply with Canada's Anti-Spam Legislation (CASL); every commercial electronic message we send will identify No-Q, include valid contact information, and provide a working unsubscribe mechanism.
Where you provide a mobile phone number, you consent to receive text messages (SMS) from No-Q related to your use of the Platform, including order-ready pickup notifications, order status updates, security alerts, and account notices. These are transactional messages and are necessary for the operation of the Platform.
Separately, and only where you have expressly opted in, we may send you promotional SMS messages about events, vendors, and offers. You may opt out of promotional SMS at any time by replying STOP to any message; reply HELP for assistance. Opting out of promotional SMS does not affect transactional messages you receive as part of your active use of the Platform.
Message and data rates may apply. Message frequency varies. No-Q is not responsible for charges imposed by your mobile carrier. SMS delivery is provided where technically feasible and is subject to carrier availability and applicable local law; for phone numbers registered outside Canada, additional local rules may apply.
All payments are processed by third-party payment providers (currently Stripe). By using the Platform, you also agree to the applicable third-party processor's terms. No-Q does not store full payment card details.
A customer service fee may be added to each order. The fee is shown at checkout before payment is confirmed.
Vendor fees, if any, are governed by the separate vendor agreement or the in-app fee schedule applicable at the time of the transaction. No-Q may introduce, modify, or remove vendor fees with reasonable prior notice.
No-Q reserves the right to modify Platform fees. We will provide reasonable notice (e.g., in-app notice or email) of any material increase before it takes effect. Continued use of the Platform after the effective date constitutes acceptance.
All Platform software, branding (including the "NO-Q" name and logo, "Powered by No-Q" marks, and "No queues. Mobile order from event vendors." tagline), designs, text, graphics, and other materials created by No-Q are the exclusive property of Axer Technology Inc (No-Q) and are protected by Canadian and international intellectual property laws. Except for the limited rights expressly granted to use the Platform, no other rights are granted.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NO-Q DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.
We do not warrant that the Platform will be uninterrupted, error-free, secure against all attacks, or that any defects will be corrected. We do not warrant the accuracy, completeness, quality, legality, or safety of any vendor's offerings.
TO THE FULLEST EXTENT PERMITTED BY LAW, NO-Q, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NO-Q'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (a) THE FEES PAID BY THE USER TO NO-Q IN THE 30 DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) CAD $100.
Some jurisdictions do not allow the limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Axer Technology Inc (No-Q, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
(a) your use or misuse of the Platform; (b) your breach of these Terms or applicable law; (c) your products, services, content, or conduct (in the case of vendors and organizers); (d) your infringement of any third-party right, including intellectual property and privacy rights; (e) for vendors, any failure to hold or comply with required licenses, permits, certifications, or venue authorizations; (f) for organizers, any unauthorized operation of an event or unauthorized use of the Platform at a venue; (g) any tax obligations associated with your activities on the Platform.
No-Q is not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, public health emergencies, acts of government, war, terrorism, riots, labor disputes, internet or telecommunications failures, payment processor outages, or third-party hosting provider outages.
We may suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful conduct, created legal or reputational risk for No-Q, or for any other reason at our discretion.
Upon termination, the sections of these Terms that by their nature should survive (including IP, indemnification, limitation of liability, disclaimers, dispute resolution, and governing law) will survive.
We may amend these Terms at any time. We will post the updated Terms on the Platform and update the "Last updated" date. Material changes will be communicated by email or in-app notice at least 14 days before they take effect, where reasonably practicable. Your continued use of the Platform after the effective date constitutes acceptance.
Before initiating any formal proceeding, the parties will attempt in good faith to resolve any dispute by negotiation, with written notice of the dispute sent to contact@no-q.ca. If the dispute is not resolved within 30 days, either party may pursue available legal remedies.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to Section 17, the courts of Alberta have exclusive jurisdiction over any dispute arising from or related to these Terms, and you consent to that jurisdiction.
